Nomination process

Q: Who can submit an entry?

A:
Entries can be submitted on behalf of in-house corporate secretary, legal, compliance, governance or ethics departments and the individuals who work within them. Entries may also be submitted by outside vendors and service providers on their behalf.


All work entered must have been undertaken within the US, or in the case of overseas work it must have been initiated or coordinated in the US.

Please note: Submission must relate to work carried out in the period July 1, 2009 to June 30, 2010.

Q: Who is eligible to be nominated?

A:
The Corporate Governance Awards are open to all corporate secretaries, general counsel, governance and compliance officers at any company listed and domiciled in the US.

Q: How can I nominate myself/my client?

A:
Entry requirements

Please ensure you have completed the following:

  • Completed entry form
  • Executive summary
  • Supporting written materials

To ensure receipt all entries should be sent by registered post or courier.

All information will be treated as confidential and will not be used for any other purpose other than judging the awards. All materials will be either returned to the applicant or destroyed as requested.


The judges will be looking for demonstrable and qualitative results. For purposes of consistency and to allow the judges to easily compare information, all entries must be submitted in the following format:

  • Category entered
  • Company/client
  • Executive summary – maximum 750 words
  • Supporting written materials with relevant sections highlighted

The executive summary should contain a brief outline of the reasons the individual/team should be considered in the category, summary of activity undertaken, relevant circumstances, objectives, outcomes and timeframe. Other elements such as cost-effectiveness, impact on company, share price effects, involvement of outside vendors or consultants and creativity of approach are optional.

There is no cost to enter.

Q: What are the categories?

A:

  • Governance professional of the year (small to mid - cap & large cap*)
  • Corporate governance team of the year (small to mid - cap & large)
  • Most effective shareholder communication
  • Most innovative CSR disclosure policy
  • Best legal team in an M&A transaction
  • Best overall governance, compliance and ethics program (small to mid - cap & large cap)
  • Best proxy statement
  • Rising star


  • *Small to mid - cap includes companies with a market cap under 10bn
    Large cap includes companies with a market cap over 10bn

Q: How many categories can I enter?

A:
There is no limit to the amount of categories individuals or companies can enter or be nominated for.

Q: What is the deadline?

A:
Nominations forms must be received no later than August 30, 2010.

Awards judging

Q: How are the winners determined?

A: The Corporate Governance Awards will be judged by a panel of governance and compliance experts from all sides of the governance arena.

A shortlist of entrants for each category will be compiled and then overall winners selected at the end of September 2010.

PLEASE NOTE All information will be treated as confidential and will not be used for any other purpose other than judging the awards. All materials will be either returned to the applicant or destroyed as requested.

Q: Who are the judges?

A: The  judging panel will consist of leading corporate secretaries and general counsel, academics, institutional shareholders, a serving CEO, a former SEC commissioner and an outside legal expert.

Q: When will the winners be determined?

A: Winners will be determined at the end of September.

Q: Will I know ahead of time if I won?

A: Winners will be announced at the ceremony in New York in November.

Q: Will I be informed if I was nominated?

A: Shortlisted entrants will be notified of their nomination in September 2010 and the winners will be announced at the ceremony in New York in November.

Awards ceremony

Q: What time does the event start?

A: The event starts at 6:30pm with a cocktail reception and dinner will be served at 7:30pm
